AI Governance · Celagenix®

Your board is accountable
for AI. Is it ready?

Assessment· Policy· Training· Oversight Frameworks

AI is already inside your organisation - whether your board has governed its adoption or not. Celagenix helps boards understand where they are, establish what they are accountable for, and build the governance infrastructure to stay in control.

Principle 10 - the board's governance obligation for data, information & technology
The challenge

AI adoption is outpacing board oversight.

In most organisations, AI is already in use across multiple departments - often without the board's knowledge, without consistent governance, and without any framework for managing the risks it introduces.

King V Principle 10 places responsibility for technology and data governance squarely with the board. That responsibility does not disappear because the technology is complex or because the adoption happened organically. It means the board is accountable for AI - whether or not it has the tools to exercise that accountability effectively.

What makes AI governance particularly difficult is that it does not sit neatly inside a single existing function. It touches IT, legal, HR, compliance, risk, strategy, and ethics simultaneously. Most boards are not structured to see across all of those simultaneously - which is exactly where external governance expertise adds the most value.

Inconsistent usage across departments - different tools, different standards, no unified policy
Security and compliance vulnerabilities - data being processed by AI tools without privacy governance
No board-level oversight structure - accountability exists in King V but not in board practice
Missed strategic opportunity - organisations that govern AI well gain competitive advantage; those that don't, accumulate risk

How an engagement works

What AI governance looks like in practice - with Celagenix.

We do not sell a generic AI governance framework. We assemble a programme from across the Celagenix ecosystem that fits your organisation's specific situation, risk profile, and governance maturity.

1
Foundation
AI Governance Status Assessment

Before we advise on anything, we need to understand where your organisation actually is. The BoardEvaluator™ AI Governance Status Assessment maps current AI usage across departments, identifies governance gaps, assesses compliance awareness, and surfaces the risks your board does not yet know it carries. This takes two to four weeks depending on your organisation's size and complexity.

Immediate governance
Interim AI Governance Rules & Risk Framework

While the broader strategy is developed, we establish interim AI governance rules - immediate policies to govern AI usage across the organisation. These are not template documents. They are tailored to your industry, your risk appetite, and the AI tools your people are already using. We simultaneously build an AI Risk Framework that identifies compliance, bias, security, and operational risks specific to your context.

Stakeholder alignment
Stakeholder Engagement & Board Alignment

AI governance does not work if only the board understands it. We facilitate structured stakeholder engagement to align AI governance with business objectives across the organisation - from the board level down. This includes board AI literacy sessions, executive briefings, and department-level awareness engagement to ensure the governance framework is understood and operational at every level where AI decisions are made.

AI Governance Framework, Policy Development & Staff Training

With the assessment complete and stakeholders aligned, we build the permanent AI governance infrastructure. This includes a customised AI governance framework specific to your organisation's needs and risk profile, AI governance policies aligned with King V Principle 10 and applicable regulatory requirements, and a structured training programme deployed through the Celagenix Academy covering staff AI awareness, manager-level governance obligations, and board oversight responsibilities.

Strategic Roadmap & Annual Governance Review

AI governance is not a once-off exercise. We produce a phased strategic roadmap for implementing and maturing your AI governance over time - with realistic timelines, resource considerations, and clear priorities based on the risk assessment. An annual BoardEvaluator™ AI Governance review tracks progress, identifies new risks as the AI landscape evolves, and keeps the board's oversight capability current.

Accountability

What the board and the organisation are each responsible for.

AI governance is not purely a technology question. It is a governance question - which means the board has specific, non-delegable obligations.

King V Principle 10 establishes that the governing body is responsible for the governance of technology and information - which explicitly includes AI. The following accountabilities apply regardless of whether your organisation has a formal AI strategy in place.

⚖️ The Board's Role
Strategy - integrating AI into corporate governance and long-term vision
Oversight - monitoring AI implementation, risk mitigation, and regulatory compliance
Policy - ensuring AI policies align with ethical, legal, and operational standards
🏢 The Organisation's Role
Risk management - identifying and addressing AI-related risks including security, compliance, and ethics
Opportunity - leveraging AI for efficiency, decision-making, and innovation
Training & adoption - ensuring employees understand AI governance principles and responsible AI usage

The ecosystem advantage

One advisory relationship. The full Celagenix infrastructure behind it.

What makes Celagenix different in AI governance is not a proprietary framework - it is the fact that our advisory connects directly to a platform, a training system, and practical tools that make implementation possible.

We are also AI-enabled in how we work. When we advise on AI governance, we are not reading from a framework document. We operate AI tools ourselves - daily - which means we understand the governance challenges from the inside, not just from the policy perspective.

The assessment runs on BoardEvaluator™. The training deploys through the Academy. The tools sit in the Director's Toolkit. The advisory connects everything. No other firm in our market has built all four capabilities together.

Common questions

What boards and executives typically ask us.

How long does the AI Governance Status Assessment take?

A standard assessment typically takes two to four weeks from initial data collection to final recommendations. The timeline may vary based on your organisation's size and the complexity of your existing AI usage. Larger organisations with multiple business units may require additional time for comprehensive cross-departmental mapping.

What if we haven't implemented any AI tools yet?

The assessment is equally valuable - and arguably more valuable - for organisations at the beginning of their AI journey. We focus on identifying optimal starting points, building the right governance foundation before adoption begins, and developing a strategic implementation plan aligned with your organisational goals. Governing AI before it is widely adopted is significantly easier than retrofitting governance after the fact.

Is our data secure during the assessment?

Absolutely. The assessment runs on the BoardEvaluator™ platform, which is hosted on AWS and designed to POPIA and GDPR-aligned standards. We adhere to strict confidentiality protocols and can sign NDAs before beginning the assessment process. Our methodology focuses on patterns, practices, and governance posture - not on extracting specific operational or financial information.

Does the board need to be involved, or is this an IT exercise?

It is emphatically not an IT exercise. King V Principle 10 places responsibility for the governance of technology and information at the board level - not with the CTO or IT department. Board involvement is essential, not optional. In practice, this means the board needs to understand the AI governance framework, approve the policies, and exercise ongoing oversight of AI adoption. The IT function executes; the board governs. The Celagenix AI Governance programme is designed to make that distinction operational.

How does AI governance connect to our POPIA obligations?

Closely and directly. Many AI tools process personal information - which means their use triggers POPIA obligations around lawful processing, purpose limitation, data minimisation, and security safeguards. An organisation that adopts AI without considering POPIA is accumulating data privacy exposure it may not be aware of. Celagenix addresses the data governance layer of AI adoption as an integrated part of the AI governance programme - not as a separate exercise. For organisations that also need a full POPIA compliance review, that work connects directly to the BoardEvaluator™ POPIA Compliance Assessment and the Academy's data privacy training modules.

What does a typical engagement cost?

The AI Governance Status Assessment on the BoardEvaluator™ platform is available as a standalone product - speak to us about current pricing for your organisation's size. The full AI Governance Programme, which includes advisory, policy development, framework design, and training, is scoped based on your organisation's specific requirements. We do not publish a standard rate card for advisory engagements because the scope varies significantly. Contact us for a discovery conversation - we will give you an honest assessment of what your situation requires and what it is likely to cost.
